50X Program Membership – Terms & Conditions (B2B)

18-month commitment | €299 + VAT per month | GoCardless Direct Debit

Provider: SME Matters (“we”, “us”, “our”)
Program: 50X Program (the “Program”)
Member/Company: The business purchasing the membership (“you”, “your”)
Effective date: The date you complete registration and payment authorisation.

1. Introduction

By enrolling in the 50X Program, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not register, access or use the Program.

2. Program Overview

The 50X Program is a hands-on business growth membership focused on strategy, leadership, sales, marketing, and AI. It includes live sessions (in-person and/or online), networking opportunities, and access to resources and guest contributors (where applicable).

Changes to delivery: We may update speakers, venues, dates, topics, and delivery format (including moving sessions online) where necessary while maintaining the overall intent and value of the Program.

3. Term, Commitment and Total Cost

18-month commitment: The Program is an 18-month membership commitment. By signing up, you are committing to the full 18-month term.

Total cost spread across monthly payments: The Program fee is the total cost of the 18-month Program, spread across monthly payments for convenience. It is not a pay-as-you-go arrangement.

Attendance responsibility: The emphasis is on you to show up each month. If you miss a session, no refund or credit is available, but resources will be made available to you (for example recordings, slides, templates, or notes where available).

4. Fees, VAT and Payment Options

Monthly option:

  • €299 per month + VAT

  • 18 monthly payments (each €299 + VAT)

Pay-in-full option (alternative):

  • You may pay the full amount in advance (18 × €299 + VAT) as a once-off payment.

VAT: VAT is charged at the applicable rate and shown on invoices/receipts.

5. Payment Authorisation – GoCardless Direct Debit

By choosing the monthly payment option and completing sign-up, you agree to sign up to GoCardless and you:

  1. Authorise us (via GoCardless) to set up a Direct Debit instruction on your behalf, and

  2. Authorise us to collect the monthly membership fee (€299 + VAT) for 18 months from your nominated bank account.

Collection date: The Direct Debit will be collected on the 20th of each month, or the next business day where applicable.

6. Payment Notices and Changes

We will provide reasonable notice of any changes to the amount collected (e.g., VAT changes where applicable) or the collection date, where required or appropriate.

7. Failed or Late Payments

You must ensure sufficient funds are available on the collection date.

If a payment fails:

  • We will notify you by email.

  • We may attempt to collect again within 7 days.

  • Your access to the Program (including resources and sessions) may be suspended until the outstanding amount is paid.

If arrears remain unpaid, we may cancel access and treat the account as in default, without waiving your obligation to pay amounts due for the remainder of the 18-month term.

8. Cancellation, Early Termination and Refunds (B2B)

B2B basis: The Program is sold on a business-to-business (B2B) basis only. You acknowledge that consumer cancellation rights (including “cooling-off” rights) do not apply.

No refunds after sign-up: Because the Program is an 18-month commitment and access is provided as part of a cohort-based membership, no refunds are available after sign-up, except where required by law.

Stopping participation: If you stop attending or stop using the Program, you remain responsible for the fees due for the remainder of the 18-month term.

9. Substitutions and Transfers

Substitutions: You may nominate a substitute participant from your organisation up to 48 hours before a scheduled session, subject to suitability and cohort dynamics.

Transfers: Requests to transfer to another cohort/date must be made at least 14 days before the original Start Date and are subject to availability.

10. Intellectual Property

All Program materials, templates, recordings, and resources are the intellectual property of SME Matters (or its licensors). Materials are provided for your internal business use only. You may not copy, reproduce, distribute, resell, or share materials without written permission.

11. Recordings, Access and Restrictions

Recording: Online sessions may be recorded. You are not obliged to appear on camera. If your camera/microphone is enabled, you may feature in recordings.

Sharing: Recordings and resources are shared via private/unlisted links or private member access. Unauthorised sharing is prohibited, and unauthorised recording of the Program is also prohibited.

12. Confidentiality (and Separate Confidentiality Agreement)

Participants must maintain the confidentiality of sensitive information shared by SME Matters and other participants.

A separate Confidentiality Agreement applies and must also be accepted and/or signed as part of participation. In the event of a conflict between these Terms and the Confidentiality Agreement, the Confidentiality Agreement will apply in respect of confidentiality matters.

13. Non-Poaching / Non-Solicitation

To protect trust within the cohort, you agree that during the Program (and for 6 months after it ends), you will not knowingly solicit for employment or contract engagement any employee of another participant business where the relationship arose directly through the Program, unless you have the prior written consent of the other business.

This does not prevent:

  • general recruitment advertising not targeted at participants, or

  • hiring where the individual approaches you independently without solicitation.

14. Code of Conduct

Participants must act professionally and respectfully. We may remove any participant whose behaviour is disruptive, inappropriate, or damaging to the learning environment. Removal for misconduct may be without refund and does not remove the payment obligation for the remaining term.

15. Marketing and Publicity

By enrolling in the 50X Program, you agree that SME Matters may reference your company name and logo in general marketing materials (including website, social media, presentations, and cohort listings) for the purpose of promoting the Program.

We will not publish any confidential business information or personal data beyond what is reasonably necessary for marketing purposes.

Photos/video/testimonials: From time to time we may take photos or short video clips at in-person or online sessions. We will only use identifiable photos/video featuring you (or publish your testimonial) where you have provided consent, which may be collected at registration and/or at the time of capture.

Opt-out: If you wish to opt out of the use of your company name and logo, you must notify us in writing at 50X@smematters.ie before the Program Start Date. If you opt out, we will stop using these in future marketing materials as soon as reasonably practical.

16. Chargebacks and Payment Disputes (not heavy)

If you initiate a chargeback or payment reversal, we reserve the right to:

  • suspend access while the dispute is being investigated, and

  • recover reasonable administrative costs incurred in responding to the dispute, where permitted.

17. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential losses. Our total liability arising from or in connection with the Program is limited to the fees you have paid to us in respect of the Program in the 3 months immediately preceding the event giving rise to the claim.

18. Disputes / Complaints

If you have a complaint, contact 50X@smematters.ie and we will try to resolve it promptly.

19. Force Majeure

We are not liable for failure or delay in performing obligations due to events outside our reasonable control. We will take reasonable steps to resume delivery as soon as practical.

20. Governing Law

These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction.

21. General Legal Clauses

Entire agreement: These Terms (and the Confidentiality Agreement) constitute the entire agreement.
Severability: If any provision is unenforceable, the remainder remains in force.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: We may assign/transfer rights/obligations as part of a reorganisation or business transfer.
Notices: Notices must be sent to 50X@smematters.ie (and to the email used to register).
