Confidentiality Agreement for the 50X Program (reposted)

1. Scope of Confidentiality

a. Definition of Confidential Information:
“Confidential Information” refers to any non-public, proprietary, or sensitive information disclosed during the 50X Program by SME Matters and/or any participant. This includes, but is not limited to:

  • Business strategies and plans

  • Financial data and projections

  • Participant contributions and discussions

  • Proprietary course materials and resources

  • Networking and industry connections shared through the Program

b. Exclusions: Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the Participant.

  • Is independently developed by the Participant without reference to program materials or discussions.

  • Is required to be disclosed by law or regulatory authority, provided that reasonable notice is given to SME Matters prior to disclosure (where legally permissible).

2. Obligations of Confidentiality

The Participant agrees to:

a. Use Confidential Information solely for personal and professional growth as part of their participation in the 50X Program.
b. Not disclose, copy, distribute, or reproduce any Confidential Information to any third party without prior written consent from SME Matters.
c. Implement reasonable safeguards to protect the Confidential Information from unauthorized access or use.

3. Commitment to Group Trust and Learning

a. As a participant, I undertake to keep all discussions within the group confidential. This includes respecting the privacy and confidentiality of other participants’ shared experiences and insights.
b. I recognize that trust is essential to fostering meaningful exchanges of ideas and experiences within the program. I am committed to upholding this trust to ensure a safe and productive learning environment.

4. Duration of Confidentiality

This Agreement remains in effect during the 50X Program and continues indefinitely after program completion, unless otherwise agreed in writing by SME Matters.

5. Breach of Confidentiality

In the event of a breach of this Agreement:

a. The Participant’s access to the 50X Program and its resources may be terminated without refund.
b. SME Matters reserves the right to seek appropriate legal remedies, including injunctive relief and damages.

6. Ownership of Confidential Information

All Confidential Information remains the property of SME Matters and/or the disclosing party. Participants acknowledge that no license or ownership rights are granted, except for personal use as outlined in the program.

7. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Ireland (excluding Northern Ireland). Disputes arising from this Agreement will be resolved under the dispute resolution process outlined in the 50X Program Terms and Conditions.

Acknowledgment

By participating in the 50X Program, I acknowledge that I have read, understood, and agree to abide by the terms of this Confidentiality Agreement.
